Terms of Service

Agreement to Terms

By accessing or using the services provided by Simbotix ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

Services Covered

These terms apply to all services across the Simbotix ecosystem:

Account Registration

To use our services, you must be at least 18 years old, provide accurate and complete information, maintain the security of your credentials, and notify us immediately of any unauthorized access.

You are responsible for all activities under your account, keeping your password secure, and ensuring authorized users comply with these terms.

Service Descriptions

Custom Development (simbotix.com)

Frappe/ERPNext development services provided per agreed scope of work. Pricing per hourly rate or fixed project quote.

SystemZ Products (systemz.studio)

One-time purchase grants perpetual, non-transferable license. Source code provided for self-hosted deployments. 30-day support included.

AppZ Hosting (appz.studio)

Uptime SLA per plan (99% to 99.95%). Daily backups per plan (14-day to 1-year retention). No artificial user limits. Overage charges apply if resource limits exceeded.

BotZ Automation (botz.studio)

n8n workflow hosting with execution and AI agent query limits per plan. Workflow data retained per plan terms.

Simbotix Studio (simbotix.studio)

Lifetime access to purchased courses. No redistribution rights.

OnBitcoinStandard (onbitcoinstandard.com)

Digital products delivered electronically. Physical products shipped per order terms.

Pricing and Payment

Multi-Currency Pricing

Payment Terms

• Subscriptions: Billed monthly or annually in advance. Auto-renewal unless cancelled. Annual plans: pay 10 months, get 12.
• Custom Development: 50% upfront for projects. Balance upon completion. Retainers billed monthly in advance.
• One-Time Purchases: Full payment at time of purchase.

Founding Member Program

Founding Members lock their rate forever in their chosen currency. Limited to 25 total slots. Non-transferable.

Taxes

GST (18%) applicable for Indian customers. International customers: No GST. You are responsible for any applicable local taxes.

Acceptable Use

You may NOT: use services for illegal activities, violate intellectual property rights, transmit malware, attempt to breach security, resell services without authorization, use services to spam or harass, store illegal content, exceed resource limits without authorization, or interfere with other users' services.

You are solely responsible for data you store, content you publish, ensuring you have rights to your content, and compliance with applicable laws.

Prohibited Content: Illegal content, child exploitation material, content promoting violence, stolen financial information, or malware. Violation results in immediate termination without refund.

Intellectual Property

We retain ownership of: Simbotix brand and trademarks, documentation and guides, proprietary tools and interfaces, course content.

Open Source Components: Frappe (MIT), ERPNext (GPL v3), n8n (various licenses), ClickHouse (Apache 2.0) retain their original licenses.

You retain ownership of: Your business data, custom code you create, content you upload, your trademarks and branding.

By using our services, you grant us the right to host, process, backup, restore, and display your data to authorized users. No right to use your data for other purposes.

Service Level and Support

Exclusions: Scheduled maintenance (with notice), force majeure events, issues caused by your actions, third-party service failures.

Data and Privacy

Your data remains yours. We process data only to provide services. We do not sell or share your data. We maintain backups per your plan. You can export your data at any time.

Upon account termination: active data deleted within 30 days, backups purged per retention policy, some data retained for legal compliance. See our Privacy Policy for complete details.

Termination

By You

Cancel subscription via account settings or email. No refunds for partial billing periods. Data export available before termination.

By Us

We may terminate or suspend for terms violation, failure to pay, prohibited activities, or security risks. Warning issued for minor violations; immediate termination for serious violations. Data available for export for 30 days after termination.

Limitation of Liability

Services provided "AS IS" without warranties of merchantability, fitness for particular purpose, non-infringement, or uninterrupted operation.

We are not liable for indirect, incidental, or consequential damages. Total liability limited to fees paid in the 12 months preceding the claim. Not liable for data loss beyond reasonable backup measures.

Exceptions: Limitations do not apply to gross negligence, willful misconduct, breaches of confidentiality, or situations where limitation is prohibited by law.

Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of services, violation of these terms, your content or data, and your violation of third-party rights.

Dispute Resolution

Informal Resolution: Contact us at [email protected]. Response within 15 days. Good faith negotiation for 30 days.

Governing Law: These terms are governed by the laws of India. Disputes subject to exclusive jurisdiction of courts in India.

Arbitration: For disputes exceeding Rs 10,00,000, either party may elect binding arbitration with a single arbitrator in India, in English, costs shared equally.

Changes to Terms

We may update these terms. Changes posted with updated date. Material changes communicated via email. Continued use constitutes acceptance. If you disagree, you may terminate.

Miscellaneous

Entire Agreement: These terms, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement.

Severability: If any provision is unenforceable, remaining provisions continue.

Waiver: Failure to enforce a provision does not waive our right to enforce it later.

Assignment: You may not assign without consent. We may assign freely.

Force Majeure: We are not liable for failures due to circumstances beyond our control.
